The nominee must:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Provide personal details<\/li>\n\n\n\n<li>Declare their consent to act as a director<\/li>\n\n\n\n<li>Confirm they meet the qualification requirements<\/li>\n\n\n\n<li>Sign the form<\/li>\n<\/ul>\n\n\n\n<p>Form<a href=\"https:\/\/drive.google.com\/file\/d\/1675U9zZqgReYrrMGw4Jqnl2ig0hXpE5Z\/view?usp=sharing\" target=\"_blank\" rel=\"noopener\"> DIR-8<\/a> is required under<a href=\"https:\/\/ca2013.com\/rule-14-companies-appointment-and-qualification-of-directors-rules2014\/\" target=\"_blank\" rel=\"noopener\"> Rule 14(1)<\/a> of the Companies (Appointment and Qualification of Directors) Rules, 2014. In this form, the prospective director must:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Declare that they are not disqualified under Section<a href=\"https:\/\/www.indiacode.nic.in\/show-data?actid=AC_CEN_22_29_00008_201318_1517807327856&amp;sectionId=49093&amp;sectionno=164&amp;orderno=168\" target=\"_blank\" rel=\"noopener\"> 164(2)<\/a> of the Companies Act.<\/li>\n\n\n\n<li>Confirm they have not been debarred from holding a director position by SEBI or any other authority.<\/li>\n\n\n\n<li>Sign the declaration.<\/li>\n<\/ul>\n\n\n\n<p>&#8220;<em>These forms are often overlooked or confused,<\/em>&#8221; Anjali notes. &#8220;<em>Companies sometimes collect only <\/em><a href=\"https:\/\/drive.google.com\/file\/d\/1h9O0gH-reqnPth6F-q2AhRwCMTZSpkax\/view?usp=sharing\" target=\"_blank\" rel=\"noopener\"><em>DIR-2<\/em><\/a><em> and forget about <\/em><a href=\"https:\/\/drive.google.com\/file\/d\/1675U9zZqgReYrrMGw4Jqnl2ig0hXpE5Z\/view?usp=sharing\" target=\"_blank\" rel=\"noopener\"><em>DIR-8<\/em><\/a><em>, or use outdated forms, creating compliance issues later. We need both forms properly executed before proceeding with the appointment.<\/em>&#8220;<\/p>\n\n\n\n<p>With Ravi&#8217;s appointment, our board will expand to 5 directors: three executive directors who are also founders, one angel investor director, and one nominee director representing our institutional investor,*&#8221; Anjali explained to ensure everyone understood the new structure.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\" id=\"step-3-convene-a-board-meeting\"><strong>Step 3: Convene a Board Meeting<\/strong><\/h4>\n\n\n\n<p><em>Next, we will need a formal board meeting to approve Ravi&#8217;s appointment,<\/em>&#8221; Anjali explains.<\/p>\n\n\n\n<p>The meeting process includes:&nbsp;<\/p>\n\n\n\n<p>1. Send proper notice to all existing directors (minimum 7 days as per Section <a href=\"https:\/\/www.indiacode.nic.in\/show-data?actid=AC_CEN_22_29_00008_201318_1517807327856&amp;sectionId=49099&amp;sectionno=173&amp;orderno=177\" target=\"_blank\" rel=\"noopener\">173<\/a>).&nbsp;<\/p>\n\n\n\n<p>2. Prepare a detailed agenda specifying the proposed appointment.&nbsp;<\/p>\n\n\n\n<p>3. Ensure quorum requirements are met.&nbsp;<\/p>\n\n\n\n<p>4. Pass a resolution appointing the nominee director.<\/p>\n\n\n\n<p>Rahul, expressing displeasure, said, &#8220;<em>Seven days&#8217; notice? That will push us dangerously close to our deadline.<\/em>&#8220;<\/p>\n\n\n\n<p>Anjali smiles. &#8220;<em>Good catch.
