Details of the Job/Internship
Velsera is hiring a Contracts Counsel with 4–7 years of experience to join their global legal team. The role involves drafting, reviewing, and negotiating complex commercial agreements, including SaaS, data brokerage, data aggregation, and vendor contracts. The position focuses on ensuring compliance with applicable laws, mitigating risks, and supporting global business operations.
Role and Responsibilities
- Draft, review, and negotiate SaaS, data brokerage, data aggregator, licensing, and vendor agreements.
- Handle contracts governed by U.S. law and other jurisdictions, applying knowledge of liability, indemnity, and dispute resolution standards.
- Advise on data protection, privacy, intellectual property, liability, and regulatory risks within contracts.
- Support internal teams such as Sales, Procurement, Product, IT, and Finance in structuring compliant deals.
- Identify and escalate legal and regulatory risks, especially relating to data use and cross-border transfers.
- Assist in developing and maintaining contract templates, playbooks, and fallback positions.
- Contribute to contract lifecycle management improvements and process optimization.
- Monitor legal and regulatory developments in SaaS, data markets, and cross-border contracting practices.
Eligibility
- Law degree and current license to practice law in India or the UK.
- 4–7 years of post-qualification experience in commercial contracting, preferably in technology, SaaS, or data services within life sciences.
- Proven experience negotiating SaaS, licensing, data brokerage, and technology services agreements.
- Strong understanding of contracting principles, including indemnities, limitation of liability, governing law, IP rights, and data security provisions.
- Good knowledge of data protection and privacy frameworks such as GDPR and the Indian DPDP Act.
- Strong drafting and negotiation skills with international exposure.
- Ability to manage deadlines and adopt a pragmatic, solution-oriented approach.
- Excellent communication, organizational, and stakeholder management skills.
- Collaborative mindset and willingness to work across time zones.
