Details of the Job/Internship
Clinically is hiring for the position of Legal Associate with experience of 3 years to join their Gurugram office.
Role and Responsibilities
- Review, draft, and negotiate a wide range of commercial contracts, including vendor agreements, service agreements, NDAs, and joint venture agreements.
- Ensure compliance with applicable laws and regulations, including data privacy, HIPAA, and cybersecurity laws.
- Advise on corporate governance matters, including board resolutions, shareholder agreements, and regulatory filings.
- Assist with corporate restructuring, mergers, and acquisitions.
- Stay updated on evolving healthcare and technology regulations, including HIPAA, FDA, and state-specific regulations.
- Advise on compliance with regulatory requirements and develop strategies to mitigate legal risks.
- Assist in obtaining necessary licenses and permits for product development and commercialization.
- Advise on intellectual property matters, including patent, trademark, and copyright protection.
- Assist in filing and prosecuting patent and trademark applications.
- Represent the company in legal proceedings, including arbitration and litigation.
- Negotiate settlements and resolve disputes effectively.
- Conduct legal due diligence on potential acquisitions, investments, and partnerships.
- Conduct in-depth legal research on complex legal issues.
Eligibility
- Bachelor's degree in law from a reputed institution.
- Experience: Minimum of 3 years of experience in a corporate law firm or in-house legal department, preferably with a focus on healthcare and technology.
- Knowledge: Strong understanding of corporate law, commercial contracts, and healthcare and technology regulations.
- Excellent research, analytical, organizational, and communication skills.
- Ability to work independently as well as collaborate with a team.
