Details of the Job/Internship
Grab is looking for a candidate for the position of Technology Legal Counsel with 5 years of experience to join them at their office in Technology Legal Counsel.
Role and Responsibilities
- Partner with business, engineering, product, cybersecurity, country counsels, DPO, and privacy teams to ensure Grab's Products comply with regulatory and contractual obligations.
- Ensure Grab's Products are compliant and optimized for their intended use, including licensing for technology monetization.
- Conduct due diligence on existing Products and ensure ongoing compliance.
- Develop product-related procedures.
- Lead technology-mapping exercises and be the go-to expert for technology-related legal questions.
- Provide general advice to stakeholders on legal queries related to technology, such as Generative AI and LLMs.
- Advise key stakeholders on technology regulatory issues, including changes to cybersecurity regulations and technology risk management guidelines.
- Advise on and negotiate a range of technology procurement engagements, ensuring contracts align with Grab's needs.
- Oversee legal terms for software, cloud, SaaS, hardware, managed services, outsourcing, and latest technologies.
- Support 'sell-side' technology procurement negotiations.
- Collaborate with other teams (Procurement, Cybersecurity, Tax, Privacy, and DPO) to incorporate essential input into procurement contracts.
- Establish efficient processes for legal interactions with technology procurement stakeholders.
- Draft and negotiate technology-related transaction documents, including those tied to group M&A activities.
- Advise business and corporate finance teams on technology, licensing, IP commercial, data, and regulatory matters.
- Be a bridge between legal and technology/product teams, creating technology provisions, product descriptions, and work orders.
- Advise on and negotiate a range of agreements and engagements specific to an Assigned Department.
- Provide specialized legal support to assigned Departments based on their unique requirements and processes.
Eligibility
- At least 5 years of experience.
- Preferably a mix of private practice and in-house experience, but candidates with a commercial mindset from private practice are welcome.
- Knowledge of copyright legislation and open-source licensing.
- Experience negotiating important technology procurement contracts (e.g., MSAs, SaaS Agreements, Software License Agreements).
- Expertise in handling technology, IP, and data aspects of corporate transactions, including Collaboration, License, and Sale & Purchase Agreements.
- Provide practical advice in complex situations.
