Introduction
What do law firm lawyers, in-house counsels, independent business lawyers, business leaders spend most of their time on? Very frequently, they are either drafting, reviewing or negotiating a contract.
In-house lawyers say that they spend anywhere between 40-70% of their time drafting contracts. In law firms too, contract drafting is often the majority of your work unless you are in the disputes team or too junior to work on contracts (then you spend time doing due diligence till you can be trusted to draft contracts).
Litigating lawyers do not necessarily draft a lot of contracts. But even if you are going into litigation in the early years when cases are hard to come by and stipend paid by senior advocates from whom you are learning some work is low, contract drafting can give you some respite.
After all, even an independent lawyer can charge at least INR 10,000 for even a basic contract. For a complicated contract like Franchisee Agreement, Shareholders Agreement or Technology Transfer Agreement, an independent junior lawyer can also charge INR 30000-50000. For specialized contracts like an Advanced Pricing Agreement under transfer pricing laws, the charges can easily cross INR 50,000. Law firms, of course, charge in lakhs for such agreements - be it an investment agreement or a loan agreement.
Contract drafting is very profitable. You can do this by sitting at one place and need not go to the court or the client site. Many lawyers do contract drafting remotely for other busier lawyers and earn handsomely.
However, how do you learn contract drafting? It is definitely not taught in law schools. Contract law is one of the basic subjects taught to every lawyer in college, but they still do not know how to draft commercial agreements.
Most lawyers have to learn it slowly on the job, from seniors who may or may not have time or skills to teach you. It is a big reason why young lawyers struggle a lot in initial years.
This is why we have created the most comprehensive 1-year course on contract drafting. After pursuing this course, you can review, draft or negotiate any kind of contract with remarkable ease.
If you are a lawyer or law student, you will be able to capture commercial deals very accurately in customized contracts that are watertight and comprehensively address your client’s intention.
How do you achieve all this in 1 year?
We begin by segmenting different types of contracts and bringing similar-looking agreements under the same head. Basically, we have divided the 100+ agreements into 8 major segments in terms of industry. Each segment will be covered over a period of 1.5 months. For example, IP and media related agreements will be clubbed together so that you will get an experience of learning and understanding 10-12 different kinds of media agreements. By the end of the segment, you will have a decent understanding of how these agreements are structured. After one segment, we move over to another segment, such as IT agreements or real estate agreements, where we follow the same process. By the end of it, you will be comfortable with all kinds of contract-drafting work, whether it pertains to general commercial agreements, corporate contracts, technology contracts, IP contracts, etc.
The pedagogy has been structured so that the briefing session will involve making you understand what a client’s expectations really are and where they are often not met. What you can do that will delight a client is discussed. Then, we progress to a discussion of the anatomy of a contract and a detailed discussion on the construction and drafting of each clause in a contract. The relevance and variation of each clause are discussed. One important thing to note here is that we provide adequate reading material and video content before every session, and we expect you to go through them before attending the live class. This not only familiarizes you with the topics to be discussed but also raises many questions in your mind, which can be clarified in the briefing sessions.
Next, we discuss the legal formalities of registration, stamping and attestation to make contracts.
Contract drafting needs to be coupled with dispute resolution and enforcement aspects of contract-related disputes. That will enable you to draft superior contracts and also litigate or arbitrate more effectively.
We realized contract drafting is like karate or learning to play a musical instrument - the more you practice, the better you get. To make sure you’ve really got it, we have created more than 100 micro-exercises, which enable you to form necessary brain and memory patterns to apply the knowledge in real-life solutions. You will know what to do in a situation because you have already dealt with it before. You will be required to draft full-length agreements based on your briefing sessions and the reading material over a period of one week. Once you have submitted the assignment, a very detailed feedback session will be taken where one of the submissions will be thoroughly analysed and discussed. You will understand how the clauses were supposed to be drafted and the hits and misses that were made.
We also conduct weekly mentoring sessions for those who have absolutely no prior experience with contract drafting. The exercises are designed to make you feel uncomfortable as you learn to grapple with problems of practical relevance. It is extremely important to read the given reading material carefully and watch the content videos before attending the live sessions and the assignment for obtaining the full value out of this course.
You will build your muscle by working on smaller problems and then begin to work on more complex and challenging situations.
By the end of this course, when you walk into a real-life situation, you will be pleasantly surprised to realize how much of it you have already tackled before through the practice exercises.
Businessmen, project management and contract management professionals and other working professionals who regularly need to deal with contracts will also find this course extremely beneficial.

What kind of recruitment and placement support will I get?
We have a 20 member placement team which shares relevant opportunities and supports you on how to crack them.
Between March 2020 to October 2021, our placement team has helped 1813 students secure job and internship opportunities, and was featured by leading media, such as The Hindu, Business World, India Education Diary, etc.
From the time that you enrol in the course, they will help you set goals and identify actions to meet them from the time of your enrolment.
Examples of assistance include CV creation exercises, mock interviews, and support for the first month when you are at a critical internship or job.
The placement team has collaborations with several recruiters who prefer to hire through us, because they know that our students.
Can I get remote freelance work after doing this course?
Yes.
We have two kinds of students. Some already have good legal skills.
Others are learning legal skills from us but not good enough to use those skills professionally yet (may take anywhere between 3-12 months to get there depending on their pace).
We have two different teams to help these two kinds of people.
Those who have legal skills such as contract drafting, data & privacy, international business law, US immigration law, litigation support, international IP law work etc do such work.
But we do not want you to wait till you learn such skills (which can take a good amount of time) before you start earning.
Your learning goes to the next level when you see that you are earning from your learning and by learning more you can double or triple your income.
There are few incentives like dopamine hit in your brain that comes from earning.
Nothing feels better than hard cash RoI that you get from investing in yourself. That is a great motivator for doing the hard work that you have to do for setting up your career for success.
This is a great differentiator between how things are taught in school and college and how we teach in LawSikho.
For those who don't have professional level legal skills yet, we help them to get other kinds of work such as writing articles, research, legal transcription, article writing, data entry, law firm admin, social media management, etc.
Some people even do work like voice over, data compilation, translation, virtual assistant etc. When they start earning and see for themselves that they can earn if they work, they start focusing on their course much better.
Our team keeps sharing suitable opportunities with them as we are always monitoring platforms like Upwork, People Per Hour & others.
We have also set up a dedicated team that is always pitching to organizations in the US to help LawSikho students find remote work. We set up an entity in the US as well to bridge the trust gap an US lawyer, startup or law firm may have with an organization operating from India.
We focus on getting learners their first 3 clients. We help them to craft amazing proposals for potential clients based on our experience. If they are selected for an interview by a client, we guide them on that too.
By the time they get the first 3 clients, learners become well adjusted to the process & can get their own clients independently. By this time their CV and profile also has some real work and testimonials so they find many opportunities from that point.
Getting started is the hardest. And LawSikho makes that process frictionless.
I have seen law students beginning to earn well over USD 1000 per month. A former colleague who is doing this as a side gig earned USD 500 in her 1st month. I have students who have been doing this for a year & have begun to earn USD 10k per month! Of course, some people are stuck at USD 300. But they will make progress too, as they will learn new skills, improve their profiles & start pitching for well paid work. We are on it.
Total number of opportunities that were created: 2000+
Total learners who got freelance opportunities between April 2021 & October 2021: 441+
Number of opportunities: 1100+
Total amount of work secured : $45,888/ INR 34,00,000 (approx)

What is the career potential after doing this course?
- Knowledge of contract drafting, negotiation and dispute resolution cuts across almost all areas of legal work. If you are a master of contract drafting, you are definitely going to do very well in your legal career, no matter what is your chosen area of practice.
- Whether you want to work at law firms, in-house legal departments in companies or litigate in court, learning contract drafting is extremely beneficial.
- There is a great opportunity to build independent practice through contract drafting. As clients trust you, they come back to you when they have disputes. Contract drafting has a low barrier to entry as clients trust younger and junior lawyers with drafting as opposed to disputes.
- There is a tremendous opportunity with respect to contract drafting not only in big metros but also tier 2 and tier 3 cities.
- There are LPOs, technology platforms such as VakilSearch, LawRato and IndiaFilings that hire hundreds of lawyers to draft agreements.
- As more Indian businesses are becoming formal from the informal sector, the demand for contract drafting, negotiation and dispute resolution is also steadily on the rise.
- As more foreign businesses are entering India, there is a significant opportunity to cater to these businesses too.
- Contracts are becoming more enforceable thanks to better access to arbitration and especially easier money recover proceedings through the Insolvency and Bankruptcy Code. This has significantly increased the importance of well-drafted contracts.
- The government and PSUs also frequently enter into complex contracts, which require great expertise. Both governments and suppliers to the government frequently hire lawyers for this purpose.
- You cannot learn these things by studying any particular laws, regulations or rules, and there are no adequate books that can help you here. Success in IP, media and entertainment law practice requires skills that are more varied than merely knowing the provisions of various statutes.
Check out the learning objectives to understand what you will exactly need to learn.

Toppers' Testimonials

I am in 4th year of my BBA LLB, which means I have to manage papers and my internship, the LawSikho course has made me more productive and it has helped me boost my confidence and skills. Each class added value and I would specifically thank my mentors for that. This course will benefit law students and law graduates alike as it teaches drafting, which is helpful.

During my last internship, I had to review a PPA, but I found it very difficult after which I decided to take up the LawSikho course, and I was able to ace my next internship. I want to thank my mentors for that. I believe that every person who is connected with the legal industry should take this course because every aspect involves drafting.

Initially, I had no idea about drafting but after taking this course I have gained a lot of confidence by performing the weekly exercises and attending live sessions.

This course has particularly proven very beneficial to me. This course is important for young professionals who want to get exposure to industrial experience. The team is dedicated and follows up with you for regular feedback and ensure that all your assignments are completed on time.

Memorable learning is about the crux of drafting. An interesting thing happened when I was interning in one of the top-tier corporate firms and they gave me an actual case and wanted me to draft a written statement for the said case. I was able to frame it along with evidences. This course is different from college because it deals with practical assignments. Moreover, we are encouraged to write articles and publish them on the ipleaders blog.

My experience in pursuing this course has been great. I not only thoroughly enjoyed drafting agreements but also it is a good practice session which makes me continuously think.

This course has helped me from getting to understand the commercial intent of the parties to visualizing the circumstances while defending the client from both sides. Penultimate year law students can help get exposure in different industries while professionals in other departments working closely with legal teams can learn practical skills.

I found the live sessions, interacting with the expert, solving different types of assignments and the feedback on the same very effective here. Every person from the legal profession should do this course as they will benefit from it.

What Top Legal Experts and Practitioners Say

(Former Associate at Dua, Archer and Angel and Clasis Law)
I have seen the design and syllabus of Lawsikho courses at close quarters, and they teach practical skills relevant for day to day work performed by corporate lawyers. These skills are not taught in law school and will be highly beneficial while working in law firms. If there was something like this available back when I was in law school, I would have definitely taken it up. This diploma course is very comprehensive and will benefit anyone who intends to build a practice in corporate law or work in a law firm.
