Details of the Job/Internship
UC Inclusive Credit Pvt Ltd. is hiring for the position of Analyst - Legal & Compliance with 1-3 years of experience to join their office in Bengaluru.
Role and Responsibilities
- Corporate Secretarial Support:
- Assist in managing the company’s secretarial and corporate affairs, including organizing Board, Committee, and General Meetings.
- Prepare agendas, notices, minutes, communications, resolutions, and comprehensive compliance charts.
- Handle e-filings of forms and returns with ROC and RBI, and maintain statutory registers.
- Ensure compliance related to the issuance and transfer of securities, dematerialization, and charter document alterations.
- Manage CSR, appointment/reappointment of Auditors, Directors, KMPs, and other event-based compliances under the Companies Act, 2013 and applicable RBI regulations.
- RBI and NBFC Compliance:
- Assist in maintaining and updating RBI compliances for NBFCs.
- Execute facility documents using IT-enabled tools, covering preparation, negotiation of key clauses, execution, and disbursement notes for credit facilities to borrowers and from lenders.
- Legal Drafting and Document Management:
- Assist in drafting, reviewing, and proofreading legal documents, including Articles, Memorandum, policies, manuals, schemes, and guidelines.
- Coordinate legal and secretarial audits, and manage safe custody of documents both physically and through digital backups.
- Conduct legal research and circulate legal/informatory notes to relevant stakeholders.
Eligibility
- Education: Bachelor’s degree in Law (LLB).
- Experience: 1-3 years of experience in legal and secretarial work with a strong academic record.
- Skills and Competencies:
- Solid understanding of finance and relevant laws/regulations.
- Strong legal drafting and document interpretation skills.
- Excellent written and verbal communication skills.
- Demonstrated attention to detail and organizational skills.
- Ability to work independently and handle multiple tasks effectively.
