Details of the Job/Internship

Oraiyan Groups is hiring an Assistant Legal Manager with over 10 years of experience to lead the legal workstream for M&A, joint ventures, and strategic investment transactions at their Bengaluru office.

Role and Responsibilities

• Manage legal aspects of M&A, JV, and strategic investment transactions.
• Draft, review, and negotiate SPAs, shareholders’ agreements, NDAs, and term sheets.
• Oversee legal due diligence across target companies and assets.
• Advise on cross-border transactions, entity structuring, and regulatory issues.
• Ensure compliance with Companies Act, SEBI, FEMA, and other laws.
• Coordinate with internal teams, external counsel, and deal counterparties.
• Provide legal risk assessments and maintain legal documentation and governance frameworks.
• Support leadership in structuring complex, high-value deals.

Eligibility

• LLB or equivalent degree from a reputed institution.
• 10+ years of post-qualification experience in M&A or corporate legal roles.
• Experience with cross-border deals, structured finance, and regulatory filings.
• Strong negotiation skills and commercial acumen.
• Preferred background: Tier-1 law firms or in-house roles at conglomerates, infra firms, or large corporates.
• Experience with IPOs, capital raising, or business restructuring is a plus.
