Details of the Job/Internship
Indian School of Business is looking for candidates for the role of Assistant Legal Manager.
Role and Responsibilities
Draft and Review Contracts:
- Create, review, and revise contracts, including but not limited to vendor agreements, customer contracts, partnership agreements, and confidentiality agreements.
- Ensure contracts are aligned with the organization's policies and legal requirements.
Compliance Management:
- Monitor and ensure compliance with contractual terms and obligations.
- Track critical milestones, deadlines, and performance metrics, and alert relevant stakeholders to ensure adherence.
Learning Research:
- Stay updated on relevant laws and regulations to ensure all contracts and agreements remain compliant.
- Conduct legal research when necessary to support contract drafting and compliance efforts.
Risk Mitigation:
- Indentify potential risks and issues in contracts and collaborate with legal counsel to mitigate them.
- Develop strategies to minimize contractual risks and disputes.
Documentation and Record Keeping:
- Maintain accurate and organized records of all contracts and related documents.
- Develop a systematic filing and retrieval system to ensure easy access to contract information.
Communication and Collaboration:
- Work closely with internal departments, external partners, and legal counsel to facilitate successful contract negotiations and resolution of compliance issues.
- Provide guidance and training to Departments on contract-related matters.
Secretarial Functions:
- Assist CFO in managing secretarial responsibilities as per the Companies Act, 2013.
- Maintain and update the statutory records and registers.
- Record minutes of Audit Committee, board meetings, general meetings, and committee meetings.
- File necessary documents and forms with MCA/ regulatory authorities and ensure timely submissions.
- Respond to notices as and when received as per requirement.
- Manages Organization secretarial compliance as per the legislations and time frame.
Eligibility
- Bachelor's degree in law. Membership with the Institute of Company Secretaries of India (ICSI).
- 4 to 5 years of Experience.
