Details of the Job/Internship
Zupee is hiring for the position of Assistant Legal Manager with 3 to 5 years of experience to join their Gurugram office.
Role and Responsibilities
Contract Management:
- Draft, review, and negotiate complex technology contracts, including software licensing.
- Agreements, SaaS agreements, vendor contracts, and partnership agreements.
- Prepare, compile, and conduct initial review of contract documents and proposed amendments.
- Make modifications or redlines to various department contracts, including IT contracts.
- Consulting agreements, vendor contracts, supplier contracts, partner agreements, and real estate leases.
- Track and maintain company contracts, including HR/recruitment agreements, real estate leases.
- Non-disclosure agreements, and IT/technology agreements.
- Ensure compliance with contracting principles, applicable laws, regulations, policies, and procedures.
Mergers and Acquisitions:
- Support the execution of mergers, acquisitions, and strategic investments, particularly in the tech sector.
- Conduct legal due diligence, focusing on intellectual property, technology assets, and regulatory compliance.
- Draft and review transaction documents, including asset purchase agreements, stock purchase agreements, and transition service agreements.
- Coordinate with external counsel and internal stakeholders to ensure compliance with regulatory environments.
Legal Compliance and Governance:
- Stay informed about developments in technology law, employment law, and other relevant regulations.
- Ensure compliance with applicable laws and regulations, including Data Privacy, IT Act, online gaming laws etc.
- Manage and maintain corporate governance practices, ensuring compliance with internal policies and external requirements.
- Interpret and apply contracting principles, applicable laws, regulations, policies, and procedures.
General Corporate Law:
- Provide legal advice on corporate matters, including corporate structure, equity financing, and shareholder agreements.
- Assist with corporate restructuring, fundraising, and other strategic initiatives.
- Collaborate with finance, product, and engineering teams to provide legal support for new product launches and business initiatives.
- Independently manage pre-litigation claims, agency charges, and litigation, sometimes with the assistance of external counsel.
- Handle disputes related to contracts, employment issues, and mergers, including drafting legal notices and coordinating with external counsel for litigation or arbitration as needed.
- Support negotiations and settlements, focusing on minimizing risk and protecting the company’s interests.
Administrative Support & Documentation:
- Update and maintain legal dockets, logs, and spreadsheets.
- Organize and prepare various legal reports.
- Assist in the timely intake and response to internal client requests, distribution, and collection of contract documents and project support documents.
- Deliver excellent customer service to internal and external clients, establishing and maintaining effective relationships in the course of work.
Eligibility
- Corporate Lawyer with 3-5 years of expertise in corporate contract,merger, and employment law, particularly within the technology sector.
- The ideal candidate will have a robust background in handling a wide range of legal matters, including contract management,mergers and acquisitions,and company law compliances.
