Details of the Job/Internship
Medanta is hiring for the position of Assistant Manager - Legal Contracts with 5-7 years of experience to join their office in Gurugram.
Role and Responsibilities
1. Contract Management:
- Review, draft, negotiate, and finalize various agreements, including Clinical Trial Agreements, Lease Agreements, Leave and License Agreements, Master Agreements, Service Level Agreements, MOUs, and more.
- Ensure timely closure of agreements while maintaining consistency with legal standards and business objectives.
2. Treasury Documentation:
- Draft and vet key treasury documents, such as loan agreements, corporate guarantees, deeds of hypothecation, bank sanction letters, indemnity bonds, and bank guarantees.
3. Legal Drafting:
- Develop standard contract templates tailored to business needs and regulatory requirements.
- Review and update legal templates periodically to reflect changes in laws and regulations.
4. Transaction Support:
- Coordinate with internal and external stakeholders to facilitate the successful execution of agreements.
- Negotiate and structure transactions while ensuring due diligence and risk mitigation.
5. Regulatory Compliance:
- Stay informed about relevant laws, including the Transfer of Property Act, Sales of Goods Act, Pharmacy Act, and Drugs and Cosmetics Act.
- Ensure that all contracts comply with applicable legal and regulatory requirements.
6. Legal Research and Advisory:
- Provide legal guidance on contract-related disputes, potential risks, and risk mitigation strategies.
- Conduct legal research to support business transactions and contractual obligations.
Eligibility
- Educational Qualification: Bachelor’s degree in Law (LL.B.).
- Experience: 5-7 years of relevant experience in a corporate legal department, preferably within the healthcare, pharma, or clinical research sectors.
- Legal Knowledge: Strong understanding of contract law, civil law, corporate law, and regulatory compliance.
- Specialized Knowledge: Experience with intellectual property (IP), trademarks, copyright, and registrations is preferred.
- Compliance Insight: Familiarity with policies, rules, and regulations at the central and state government levels.
- Skills: Excellent drafting, negotiation, and communication skills.
- Attention to Detail: Strong analytical skills with a focus on identifying legal risks and ensuring compliance.
