Details of the Job/Internship
BDO India is hiring a General Corporate Lawyer with 4–8 years of PQE to join its Corporate Counsel function in Mumbai.
Role and Responsibilities
- Review, draft, and manage contracts.
- Provide legal support on internal governance, general corporate matters, and M&A transactions.
- Draft and review shareholder agreements, share subscription agreements, AoA, MoA, and resolutions.
- Strategise and structure deals from a legal perspective.
- Advise on company law, FEMA, SEBI regulations, and allied laws.
- Provide knowledge support for ESOP management.
- Conduct legal due diligence and coordinate with external counsel.
- Support negotiations with external parties.
- Conduct legal research related to corporate and regulatory laws.
- Manage internal stakeholders on general corporate matters.
- Review office and infrastructure agreements, including lease and leave and license agreements.
- Handle additional matters required to support the role.
Eligibility
- LLB with 4–8 years of PQE.
- CS, LLM, and M&A-related experience or courses preferred.
- Strong analytical thinking and attention to detail.
- High proficiency in written and spoken English.
- Strategic mindset with the ability to manage complex transactions.
- Proficiency in Word, Excel, and PowerPoint.
- Strong organisational skills.
