Details of the Job/Internship
Sunkind is hiring an Assistant Manager – Legal & Commercial – Solar EPC & Energy Projects with experience of 4–7 years to join their office in Gurgaon.
Role and Responsibilities
- Draft, vet, and negotiate EPC, O&M, vendor and sub-contractor agreements, PPAs, Energy-as-a-Service, Solar Park, and utility and evacuation agreements.
- Structure CAPEX and OPEX documentation with appropriate risk allocation, including LD, PLD, indemnities, limitation of liability, and force majeure provisions.
- Align client contracts with back-to-back protections in vendor and subcontractor agreements.
- Advise bid and procurement teams on contractual risk exposure.
- Handle legal correspondence and representations before DISCOMs, STU, CTU, SLDC, and other regulatory authorities.
- Review and negotiate grid connectivity, evacuation, transmission, bay construction, PSS, GSS, transmission line, and Right of Way agreements.
- Advise on open access and captive and group captive structures under the Electricity Act, 2003 and applicable SERC regulations.
- Provide legal inputs on metering, banking, wheeling and transmission charges, cross-subsidy surcharge, and related regulatory obligations.
- Coordinate land due diligence and title verification with external counsel.
- Review land acquisition and lease documentation, ROW, easements, wayleave, and transmission infrastructure permissions.
- Vet vendor contracts, purchase orders, supply, and subcontract documentation.
- Structure LD clauses, performance guarantees, defect liability, and milestone-linked payment terms.
- Support commissioning, performance testing, and project completion documentation.
- Draft and review SPAs, SHAs, and asset or business transfer agreements.
- Assist in SPV structuring, inter-company arrangements, and corporate guarantees.
- Review loan and security documents including pledge, hypothecation, mortgage, and finance lease documentation.
- Support due diligence for investors, lenders, and strategic transactions.
- Review labour contractor and manpower agreements.
- Advise on workforce-related contractual risk, accident liability, and indemnity protection.
- Provide legal oversight on labour law exposure at EPC sites.
Eligibility
- LLB from a recognised university.
- 3–7 years of experience, preferably in infrastructure, energy, EPC, or real estate law.
- Prior experience in independently drafting commercial agreements.
- Understanding of the Companies Act, Contract Act, and Transfer of Property Act.
- Knowledge of power sector laws and electricity regulations is preferred.
- Strong negotiation and drafting skills.
- Commercially practical and solution-oriented approach.
- Ability to manage multiple project SPVs.
- Exposure to the renewable energy sector is an advantage.
