Details of the Job/Internship
ixigo is hiring for the position of Assistant Manager - Legal & Secretarial with 5+ years of experience to join their office in Gurugram.
Role and Responsibilities
- Ensure timely and accurate filing of forms, returns, and disclosures under MCA, RBI, and listing requirements.
- Handle consumer litigation matters and liaise with police authorities.
- Draft, review, and negotiate basic-level contracts and agreements.
- Oversee compliance with SEBI (LODR) Regulations, Insider Trading Regulations, and other applicable laws.
- Prepare statutory disclosures, including shareholding patterns, corporate governance reports, and stock exchange filings.
- Draft agendas, notices, and minutes for Board, Committee, and General Meetings.
- Organize AGMs, EGMs, and Postal Ballots in compliance with statutory requirements.
- Maintain statutory registers and records under the Companies Act, 2013.
- Coordinate with internal teams for inputs and presentation materials.
- Liaise with the Registrar & Share Transfer Agent (RTA) for shareholder services and reporting.
- Prepare and maintain secretarial audit reports and internal audit documentation.
- Implement best practices in corporate governance.
- Track regulatory changes and assess their impact on the business.
Eligibility
- Minimum 5 years of experience in Company Secretarial and Legal functions.
- Strong knowledge of the Companies Act, SEBI Regulations, and other applicable laws including Consumer Protection Act, e-commerce guidelines, dark patterns regulations, Cyber Laws, DPDP Act, and Rules.
- Excellent skills in drafting, communication, and cross-functional coordination.
- High attention to detail with the ability to manage sensitive and confidential information.
