Details of the Job/Internship

Corenza is looking for a candidate for the position of Assistant Manager Legal.

Role and Responsibilities

• Handling and assisting with the post-acquisition compliances and documentation for the assets, assisting with due diligence and documentation for sales, exits, and fresh acquisitions. 
• Drafting and reviewing leave and license agreements, lease deeds, letters of intent, head of terms, etc. in respect of commercial office spaces across India and ancillary spaces.
• Drafting and reviewing mortgage deeds and other finance documents, facility agreements, and such other documents as may be required concerning the finance transactions being entered into by the portfolio companies. 
• Drafting and reviewing power purchase agreements, EPC contracts, service agreements, maintenance agreements, vendor contracts, NDAs, and other business contracts. 
• Advising and assisting the various departments of the portfolio companies in their legal/compliance and documentation requirements. Handling the legal matters of joint ventures with other partners. 
• Negotiating and finalizing the documents listed above with counterparty lawyers/advisers. 
• We are reviewing litigation and attending court matters regarding the properties owned, developed/being developed by the company. 
• Deliver the role in alignment with the Environmental, Social, and Governance (ESG) framework, including Health and Safety (EHS).

Eligibility

Skills Required: 

• Strong Legal Acumen particularly with respect to Real Estate and General Corporate.
• Understanding of Compliance Regulations and Potential Impact.
• Communication Skills.
• Team player.

Work Experience:

• The candidate should have sound knowledge of commercial real estate and it would be helpful if he/she has worked with any of the large or niche law firms in their real estate team/part of the legal team at any prominent developer in the country.
• Knowledge of the Infrastructure/ Energy sector would be a plus.
