Exela Technologies is hiring for the position of Assistant Manager Legal with 6-10 years of experience to join their office in Pune.
Role and Responsibilities
US Corporate Governance & Board Support
- Manage all aspects of US corporate governance including drafting agendas, resolutions, and minutes for Board and Committee meetings.
- Maintain and update corporate records, charters, bylaws, and governance documents.
- Ensure compliance with US corporate laws and regulatory requirements, including entity formation, maintenance, and dissolution.
- Coordinate with shareholders and manage logistics for annual meetings and other governance events.
- Monitor and implement governance best practices in line with US standards.
Contract Lifecycle Management
- Draft, review, and negotiate a wide range of US contracts, ensuring legal soundness, clarity, and alignment with business goals.
- Ensure all contracts comply with US laws, internal policies, and risk management protocols.
- Liaise with US legal counsel to ensure accuracy and compliance in all contractual documentation.
Stakeholder & Cross-functional Collaboration
- Work closely with internal teams (Legal, Sales, Finance, Procurement) and US counterparts to ensure alignment and efficiency.
- Maintain strong professional relationships with US-based clients, vendors, and external partners.
- Facilitate smooth communication between legal, compliance, and business teams across geographies.
Risk Identification & Mitigation
- Identify potential risks in contractual terms and provide strategies to mitigate them.
- Remain up to date with changes in US legal and regulatory environments and proactively apply relevant updates to contracts and compliance frameworks.
Negotiation & Strategy
- Lead contract negotiations with US clients and vendors to secure favorable terms while preserving strong partnerships.
- Balance commercial interests with compliance and legal risk to drive value for the organization.
Process Improvement & Legal Innovation
- Continuously assess and enhance contract management processes using best practices from the US legal landscape.
- Introduce efficiency-driven improvements in compliance procedures and document handling.
Eligibility
- Certified Company Secretary and Bachelor’s Degree in Law.
- 6–10 years of hands-on experience in US contract management, legal compliance, and corporate governance.
- Deep understanding of US contract law, corporate regulatory requirements, and risk mitigation strategies.
- Excellent written and verbal communication skills, with the ability to engage US-based stakeholders effectively.
- Experience working with cross-functional global teams.
- Strong attention to detail and ability to manage multiple priorities in a fast-paced environment.
