Details of the Job/Internship
Pilgrim is seeking a skilled Assistant Manager – Legal & Compliance to oversee statutory filings, board governance, contract management, and regulatory compliance.
Role and Responsibilities
- 1. Company Secretary & Compliance
- Ensure end-to-end compliance with all statutory and regulatory requirements under the Companies Act, 2013.
- Prepare, file, and maintain statutory forms, annual returns, and event-based filings with MCA/ROC.
- Draft and maintain board resolutions, minutes (Board & General Meetings), and statutory registers.
- Coordinate Board and General Meetings, including preparing agendas, notices, and minutes.
- Advise management on corporate governance frameworks and compliance best practices.
- Liaise with regulators and advisors including MCA, ROC, SEBI, RBI, and external auditors.
- Handle company incorporation, amendments to MOA/AOA, share capital changes, and related documentation.
- 2. Legal & Contractual Support
- Draft, vet, and review commercial agreements, NDAs, vendor contracts, and other legal documents.
- Assist in dispute resolution, drafting notices, and coordinating with external legal counsel.
- Maintain and track legal documents, licenses, contracts, and renewal schedules.
- Support due diligence exercises during audits, fundraising, or investor review processes.
- 3. Business Administration & Coordination
- Collaborate with operations, HR, finance, and other teams to ensure compliance alignment.
- Maintain organized documentation, version control, and compliance dashboards.
- Provide administrative and governance support for business operations as required.
Eligibility
- Qualified Company Secretary (CS) – ICSI.
- LL.B. degree preferred, though not mandatory.
- 3–6 years of relevant experience in corporate secretarial and legal functions.
- Strong knowledge of Companies Act, 2013, FEMA, SEBI regulations, and compliance frameworks.
- Excellent drafting, communication, and organizational abilities.
- Ability to manage multiple priorities, work independently, and maintain strict confidentiality.
Salary/Stipend
