CleanMax is hiring a assistant legal counsel to join them in Bengaluru office.
Role and Responsibilities
1. Legal Advisory & Compliance
- Provide legal support to the business on a wide range of legal matters including power purchase, M&A, project financing, and general contracts.
- Advise on corporate governance, regulatory compliance, and industry-specific legal matters, particularly in the renewable energy sector.
- Ensure adherence to applicable laws and regulations, advising on potential risks and mitigation strategies.
2. Contract Management & Negotiation
- Lead and negotiate key contracts, including power purchase agreements, EPC agreements, M&A, joint venture agreements, and other energy-related contracts.
- Draft, review, and amend contracts to safeguard the company’s interests and mitigate legal risks.
- Support the business in understanding contract terms and implications to ensure seamless execution.
3. M&A and Private Equity Transactions
- Handle legal due diligence and provide guidance on the structuring and execution of M&A and private equity deals.
- Work closely with internal stakeholders and external advisors to negotiate terms and ensure smooth transaction processes.
4. Renewable Energy Expertise
- Leverage knowledge and experience in the renewable energy sector to provide strategic legal support for CleanMax’s ongoing and new projects.
- Stay abreast of changes in renewable energy regulations, ensuring CleanMax complies with evolving laws.
5. Team Collaboration
- Collaborate with cross-functional teams, including project management, business development, and finance teams, to address legal matters impacting the company’s operations and strategy.
- Provide legal training and guidance to internal stakeholders as needed.
Eligibility
- PQE: Minimum of 3-6 years of post-qualification experience (PQE).
- In-House Experience: At least 3 years spent in a reputed in-house legal team of a similar company, or law firm experience with a focus on energy or infrastructure.
- Sector Experience: Substantial experience in energy and infrastructure law is a significant advantage. Knowledge of the renewable energy sector is a strong plus.
- Skills & Competencies:
- Advanced legal drafting and negotiation skills (a drafting test may be administered as part of the interview process.)
- track record in handling M&A and private equity transactions.
- Expertise in negotiating EPC contracts and advising on legal aspects of project execution.
- Strong analytical and problem-solving abilities with the capacity to provide pragmatic legal advice.
