Details of the Job/Internship
Bridgehouse Solutions is hiring an Associate – Corporate Legal with 2–4 years of experience to join its Bengaluru office. The role is office-based and focuses on corporate documentation, transactional support, fundraising, mergers and acquisitions, and related advisory work.
Role and Responsibilities
- Draft, review, and analyse corporate legal documents, including term sheets, shareholders’ agreements, share subscription agreements, ESOPs, convertible notes, fundraising agreements, transactional documents, and M&A documentation.
- Provide legal advice on corporate governance, regulatory compliance, contractual obligations, and risk management.
- Support legal due diligence for mergers, acquisitions, and other corporate transactions.
- Identify legal risks in transactions and advise on mitigation strategies.
- Participate in contract negotiations to protect organisational interests.
- Monitor changes in corporate, securities, and regulatory laws and advise on compliance requirements.
- Conduct legal research on relevant laws, regulations, and industry practices.
- Assess legal risks associated with business decisions and propose preventive strategies.
- Collaborate with internal teams, including management, finance, and human resources, to ensure legal compliance.
Eligibility
- LLM qualification is mandatory.
- B.Com or Company Secretary qualification as part of academic background.
- Graduation score above 80 percent, preferably in B.Com.
- Minimum 2–3 years of experience in corporate law at a law firm or in-house legal team.
- Strong working knowledge of the Companies Act, FEMA, SEBI regulations, and transaction structuring.
- Proficiency in MS Office tools.
- Excellent drafting, communication, and analytical skills.
- Ability to work independently, remain detail-oriented, and adapt to a fast-paced environment.
- Willingness to work from the Bengaluru office and be flexible with working hours.
