Details of the Job/Internship
CarDekho Group is looking for a candidate for the position of Associate Director- Compliance.
Role and Responsibilities
- Ensure compliance with the provisions in the SHA’s and other applicable statutory laws in India & SEA.
- Serve as the primary point of contact between the company and regulatory authorities, shareholders, and stakeholders.
- Coordinate and organize board meetings, general meetings, and committee meetings, including preparing agendas, minutes, and resolutions.
- Maintain and update statutory registers, books, and records required by law.
- Provide guidance to the board of directors, senior management, and external consultants on corporate governance matters, best practices, and compliance issues.
- Prepare and file annual reports, financial statements, and other corporate disclosures.
- Handle matters related to corporate restructuring, mergers, acquisitions, and other corporate transactions.
- Maintain confidentiality of sensitive information and handle legal and administrative matters with discretion.
Eligibility
- Member of the Institute of Company Secretary of India (Mandatory).
- Minimum 6 to 10 years of experience with a combined experience from a top-tier law firm and Start-up Company.
- Expertise in the following Legal & Compliance fields, drafting & executing of SHA’s, Managing Investor compliances, managing secretarial compliances, and other ROC matters.
- Drafting of Board resolutions & other secretarial documents of the company.
- Excellent communication (both written and verbal) skills.
- Ability to multitask, demonstrate sound judgment under high stress, time-critical deadlines, and excel in teamwork.
- Excellent research and problem-solving skills.
