Details of the Job/Internship

Incedo is hiring an Associate Director – Legal with 10+ years of experience to join its office in Gurugram.

Role and Responsibilities

• Providing legal advisory on corporate, commercial, and employment matters.
• Drafting, reviewing, and negotiating NDAs, MSAs, SOWs, vendor contracts, and client agreements with Indian and international clients.
• Ensuring contracts comply with legal, regulatory, and internal company policies.
• Supporting adoption of best industry practices.
• Monitoring compliance with applicable laws, regulations, and internal policies.
• Assisting with data privacy and IT regulatory frameworks, including GDPR and CCPA.
• Identifying and mitigating legal risks and supporting dispute resolution and pre-litigation matters.
• Maintaining legal documentation and records.
• Drafting legal opinions, memos, and summaries for senior management.
• Coordinating with external legal counsel on specialised matters.
• Supporting legal due diligence, audits, statutory filings, and intellectual property matters.

Eligibility

• Bachelor’s degree in Law (LLB) is mandatory; Master’s in Law (LLM) is preferred.
• Certifications in Corporate Law, Intellectual Property, Compliance, or Data Privacy are preferred.
• Minimum 10+ years of experience in legal roles within IT services or corporate legal teams.
• Strong knowledge of contract law and corporate law with emphasis on IT-related functions.
• Familiarity with data privacy laws such as GDPR, CCPA, and the IT Act.
• Excellent drafting, negotiation, and communication skills.
• Ability to analyse legal risks and provide practical solutions.
