WENdigital is hiring for the position of Associate Director Legal with 10+ years of experience to join their office in Gurugram. 

Role and Responsibilities

1. Deal Structuring & Legal Advisory

• Serve as the lead legal advisor for complex transactions, including M&A, joint ventures, private equity investments, and strategic alliances.
• Provide end-to-end support in deal structuring, risk analysis, and contract negotiation.
• Collaborate with tax advisors and internal stakeholders to develop optimal legal structures for acquisitions, divestments, and special purpose vehicles (SPVs).
• Ensure alignment of legal strategies with organizational objectives and commercial outcomes.

2. Acquisitions

• Lead due diligence processes and identify key risks and mitigation strategies.
• Structure and negotiate acquisition transactions, ensuring timely execution of definitive agreements.
• Coordinate with operational teams to ensure smooth legal and business integration post-deal.

3. Divestments & Dilutions

• Manage legal aspects of company-led divestments and capital dilution activities.
• Coordinate due diligence efforts and address investor queries efficiently.
• Drive negotiations, finalize documentation, and facilitate successful deal closures.

4. International Transactions

• Provide legal support in offshore fundraising initiatives.
• Support due diligence and execution of cross-border transactions.

5. Dispute Resolution & Litigation

• Handle pre-litigation matters and manage ongoing litigation related to real estate and commercial transactions.
• Collaborate with external legal counsel to develop cost-effective dispute resolution strategies.
• Ensure contract enforcement and regulatory compliance throughout.

6. Documentation & Compliance Oversight

• Ensure timely execution and closure of:
• Heads of Terms
• Preliminary Agreements
• Condition Precedents & Subsequent
• Final closing-day deliverables

Eligibility

• LL.B. from a recognized university; LL.M. or specialization in corporate/commercial law is an advantage.
• 10+ years of progressive legal experience, with substantial exposure to real estate, PE investments, and M&A.
• Proven track record of independently managing large-scale legal transactions and due diligence.
• Strong understanding of regulatory frameworks governing cross-border and domestic deals.
• Excellent negotiation, communication, and stakeholder management skills.
