Details of the Job/Internship
AlphaGrep is hiring an Associate – Legal with experience of 1–3 years to join their office in Mumbai.
Role and Responsibilities
- Draft, review, and negotiate NDAs, service agreements, vendor contracts, and engagement letters for fund-related service providers including custodians, depositaries, administrators, transfer agents, auditors, and technology providers.
- Coordinate the legal aspects of onboarding new service providers by liaising with internal stakeholders, identifying legal and operational requirements, tracking approvals, and ensuring documentation is properly completed, executed, and filed.
- Assist in legal work relating to investment vehicles managed by the organisation, including fund documentation, investor agreements, side letters, and related regulatory filings.
- Support the setup of funds and strategies by preparing and coordinating documentation such as constitutive documents, offering documents, side letters, subscription packs, and other investor agreements.
- Liaise with external counsels, regulators, and other third parties on corporate and funds-related matters.
- Assist in regulatory filings and correspondence with regulators in relation to fund structures and investor onboarding.
- Conduct legal research on corporate law, funds regulations, and related jurisprudence and prepare concise notes for internal stakeholders.
- Prepare, maintain, and version-control deal-specific documentation packs including due diligence questionnaires, term sheets, approvals, and closing checklists.
- Drive the standardisation of processes for fund-related documentation, onboarding workflows, and internal approvals and document them clearly for internal use.
- Support internal projects such as policy updates, process improvements, and implementation of new regulatory or internal requirements.
Eligibility
- LL.B. (3/5 year) from a recognised law school in India.
- 1–3 years of post-qualification experience as a corporate, funds, or capital-markets lawyer, preferably in a law firm or in-house investment-management/capital-markets team.
- Strong drafting, review, and negotiation skills with a clear and concise style.
- Exposure to funds work such as AIFs, mutual funds, private equity, or venture capital funds, and/or capital markets matters including SEBI regulations, listing and regulatory filings, or capital raising transactions.
- Strong written and oral communication skills with the ability to present complex issues clearly to non-legal stakeholders.
- High attention to detail, reliability, and ownership of end-to-end documentation and processes.
- Proactive and self-motivated with the ability to take initiative, work independently, and collaborate within a team.
- Ability to work across multiple matters, manage deadlines, and transition quickly between projects.
- Familiarity with SEBI regulations, AIF Regulations, and basic securities-law concepts.
