Details of the Job/Internship
Stryker is looking for a candidate with 10 to 12 years of experience for the position of Associate Manager- Legal Counsel.
Role and Responsibilities
CORPORATE COMPLIANCE AND COMPANY SECRETARIAL:
- Corporate Governance including all Secretarial and Company Law Compliances for all legal entities.
- Conducting Board Meetings and General Meetings of the company, issuing notices of meetings, and drafting statutory reports, resolutions, and minutes.
- Compliance with Company Law, Foreign Exchange and Reserve Bank norms, and other relevant applicable regulatory requirements of the Company.
- Maintaining Statutory Books/Registers and filing relevant forms and returns applicable to the company.
- Ensuring compliance with the secretarial standards applicable to the Company.
- Managing CSR compliances applicable to the company.
- Ensure effective compliance with regulatory requirements such as code of conduct, POSH, Labor Law Facility/Lab compliances, and other regulatory policies applicable to the company. Develop and oversee control systems to prevent or deal with violations of legal guidelines and internal policies.
- Ensure effective communication and interaction with Indian and foreign Directors, shareholders, and shareholding entities.
- Dealing with external auditors for secretarial matters.
- Prepare and present clear and concise compliance reports to senior management and regulatory bodies.
- Ensure the proper organization and storage of company records and documents.
- Keep abreast of regulatory developments within or outside of the company as well as evolving best practices in compliance control.
LEGAL MANAGEMENT:
- Review of all documentation that has legal implications for the company prior to signing and implementing.
- Develop standard formats for commercial/legal terms and conditions, service contracts, NDA templates, lease agreements, MOUs, and legal disclaimers, and assist cross-functional teams with legal documentation.
- Drafting, finalizing, and guiding the business team for special projects to minimize the company’s liability/protect its interests.
- Providing legal assistance to the HR Dept. for employment matters and compliance with regulatory requirements.
- Interaction with external advocates, counsels, internal business teams, and group companies at a global level on legal/contractual matters.
- Maintain and update contract/legal database including automation and contract depository so that it is easily accessible and available for business teams.
- Preference for familiarity with laws applicable to the medical device industry, although not mandatory.
Eligibility
- Qualified CS (Mandatory) + B.A. (LLB) (Preferable) with a PQE of 10-12 years.
- Proven ability to work effectively in a global organization, gaining the trust and confidence of colleagues, stakeholders, and management.
- Ability to work well independently and in a team.
- Excellent written and spoken communication skills in English.
- Demonstrated ability to manage tasks assigned and establish priorities.
- Strong analytical and problem-solving skills and ability to interact at all levels globally.
