Details of the Job/Internship

Lakshmikumaran and Sridharan Attorneys is hiring an Associate Partner in the Corporate and M&A team for its offices in Mumbai, Delhi, and Bangalore.

Role and Responsibilities

• Lead and manage corporate M&A transactions from inception to closing, including due diligence, negotiations, drafting agreements, and ensuring regulatory compliance.
• Provide strategic guidance to clients on structuring and executing transactions involving mergers, demergers, slump sales, acquisitions, and disinvestments.
• Advise clients on interpreting complex legislative and regulatory actions relating to corporate transactions.
• Review transaction documents such as term sheets, business transfer agreements, share purchase agreements, shareholder agreements, promoter/founder employment agreements, shareholder resolutions, notices, and explanatory statements.
• Collaborate with other practice groups within the firm, including Tax, Competition Law, and IPR teams, to deliver comprehensive legal solutions.
• Provide legal opinions on corporate laws, including the Companies Act, 2013, FEMA, 1999, Indian Contract Act, 1872, SEBI laws, and RBI regulations.
• Demonstrate strong communication, negotiation, and analytical skills.
• Train and mentor junior associates while contributing to business development and knowledge management initiatives.
• Ensure compliance with the firm’s policies and align work with agreed business plans.

Eligibility

• Candidates must have 7-9 years of experience in the corporate practice of well-reputed law firms or a combination of law firm experience.
• Education: Five-year law degree from a reputed university with a good academic record. (LLM/CA/CS will be an added advantage.)
