Details of the Job/Internship
Vivriti Capital’s looking for an Associate / Senior Associate – Compliance to join them.
Role and Responsibilities
- The candidate should be accountable for Compliance with Companies Act and the Rules made there under, for all companies in the group, with specific emphasis on RBI regulations for NBFC and FDI Compliances.
- The candidate should make sure all regulatory filings, applications, returns, etc. are submitted within the stipulated deadlines for NBFCs, including all FEMA compliances w.r.t. FDI, ECB, Downstream Investment, Import-Export, or under any other aspect of FEMA regulations and ensure that all statutory records are regularly updated.
- The candidate should be responsible for conducting Board Meetings, General Meetings, Board Committee meetings, etc. and closing all associated activities as per statutory requirements and follow up on action points through a systematic approach and tracking of actionable.
- The Candidate should be able to keep track of periodic compliance charts/calendars in accordance with the Companies Act and the Reserve Bank of India (RBI) Regulations. These charts/calendars should be used to monitor changes in statutes and ensure compliance.
- The Candidate should be able to encourage and support the implementation of business processes and guidelines to promote the attainment of business goals, reduce risk, eliminate inefficiencies and enhance efficiency.
- The candidate should be responsible for providing regulatory compliance support for various loan and investment product models, structures, approaches and models with the Product teams and Business team, overseeing and driving the Compliance team to help out with the products, business, treasury, operations and finance teams and make sure any issues are taken care of right away.
- The Candidate should be able to draft internal opinions on various matters covered under corporate laws, securities laws and financial laws as applicable to listed NBFCs to solve complex situations.
- The candidate should be responsible for ensuring that appropriate action has been taken about any points raised by the appropriate authority/department, including license/registration matters and policies, regulations, or legal changes that may have an impact on the organization are current, sanctioned by the committee, and communicated to the relevant departments through regular training.
- The candidate should be responsible for organizing training for Compliance team members on subjects of relevance w.r.t. professional growth and development.
- The candidate should be responsible for ensuring periodic regulatory update sessions within the team and outside the team (on a need basis) to sensitize about changes in the regulatory framework.
Eligibility
- Qualification: CS and LLB
- Post Qualification experience: 3 to 8 Years
- An experienced person from listed non-financial corporations with expertise in company law, FEMA, securities laws, and RBI regulations for systemically important non-financial corporations.
- Exposure to corporate law, SEBI rules, RBI rules for debt-listed NNBFCs, and other related laws, like PMLA, data privacy, cyber security, etc.
- Another plus is exposure to equity fundraising, mergers and acquisitions, etc.
