Details of the Job/Internship

EZY Laws Advocates and Corporate Legal Advisors is hiring for the position of Associate/Senior Associate - CS and Compliance with 3 years of experience to join their office in Mumbai Metropolitan Region.

Role and Responsibilities

Regulatory Compliance:

• Companies Act, 2013 and relevant Rules, including Secretarial Standards
• SEBI Regulations (LODR, Insider Trading, Takeover Code, Issue of Capital, etc.)
• AIF Regulations, 2012
• SEBI Merchant Bankers Regulations
• Insolvency and Bankruptcy Code, 2016

Secretarial Responsibilities:

• Organize and conduct Board, Committee, General, and CoC meetings under IBC
• Draft notices, agendas, minutes, Director’s Reports, and Corporate Governance Reports
• Maintain statutory registers and handle annual director disclosures
• Draft and amend Memorandum and Articles of Association

AIF & ROC Filings:

• Act as Compliance Officer for AIF, as required
• Ensure timely filings under AIF and Companies Act, including PCS certification

Stakeholder Liaison:

• Coordinate with ROC, MCA, SEBI, Stock Exchanges, RBI, Depositories, RTAs, and other intermediaries

Contract Management:

• Draft, review, and negotiate a wide variety of commercial contracts and legal agreements
• Conduct risk assessments and propose commercially sound mitigations
• Advise clients on legal aspects of complex commercial transactions

Eligibility

• Experience: Minimum 3 Years Post-Qualification.
• Qualification: Company Secretary (CS); LL.B. preferred.
• Gender: Open to all.

Salary/Stipend
