Details of the Job/Internship

EZY Laws Advocates and Corporate Legal Advisors is hiring an Associate/Senior Associate - CS Compliance with 3 years of experience to join their office in  Mumbai.

Role and Responsibilities

• Compliance:
• Companies Act, 2013 (including Secretarial Standards)
• AIF Regulations, 2012
• SEBI Merchant Bankers Regulations
• IBC, 2016 and related regulations
• SEBI Regulations (LODR, Takeover Code, Insider Trading, Issue of Capital, etc.)
• Act as Compliance Officer of AIF, if required
• Corporate Governance & Meetings:
• Conducting Board, Committee & General Meetings of Shareholders & CoC (under IBC)
• Drafting Notices, Agendas & Minutes of meetings
• Drafting Directors’ Report including Corporate Governance Report
• Reviewing compliance-related policies and recommending updates
• Regulatory Filings & Liaison:
• Compliance with AIF Regulations and form filings
• Drafting & amending MOA and AOA
• Annual disclosures of Directors & maintenance of statutory registers
• Liaison with Stock Exchanges, Depositories, ROC/MCA, RBI, Bankers, RTA, Consultants, SEBI, etc.
• Filing & certifying ROC and other forms (PCS certification)
• Contracts & Advisory:
• Draft, review & negotiate commercial contracts and agreements
• Identify risks in contracts and propose mitigation strategies
• Provide legal advice on commercial transactions
• Manage internal teams and external stakeholder relationships

Eligibility

• Qualification: Company Secretary (CS), LL.B. preferred.
• Experience: Minimum 3 years’ PQE.

Salary/Stipend

Compensation details will be finalized during the interview process with the selected candidate.
