Details of the Job/Internship

JSA is hiring an Associate with 2–4 years of PQE in General Corporate / M&A practice to join their team across its offices in India.

Role and Responsibilities

• Draft, review and negotiate transaction documents such as SSA, SPA, SHA, BTA, term sheets and other ancillary agreements.
• Work on Private Equity, Venture Capital and M&A transactions, primarily in the unlisted space.
• Assist in listed company transactions such as open offers and delisting where applicable.
• Handle end-to-end execution and closing of transactions while coordinating with clients, counterparties and internal teams.
• Demonstrate a strong understanding of corporate laws including the Companies Act, 2013, SEBI regulations such as LODR and PIT Regulations, and foreign exchange laws.
• Lead and conduct legal due diligence and assist in preparing diligence reports.
• Communicate effectively with clients and manage transaction discussions.
• Adapt to new areas of law and manage varied workstreams including advisory, drafting, negotiations and corporate litigation support when required.

Eligibility

• 2–4 years PQE in General Corporate / M&A practice.
• CS + LL.B. qualification is mandatory.
• Prior experience with Tier-1 or Tier-2 law firms is desirable.
• Strong drafting, negotiation, analytical and client-management skills.
• Exposure to employment law will be an added advantage.

Salary/Stipend
