Details of the Job/Internship
Spark Legal is hiring an Associate with experience of 3–5 years PQE to join their office in Mumbai.
Role and Responsibilities
- Advise on a wide range of corporate transactions, including Mergers & Acquisitions (M&A) and Venture Capital (VC) investments.
- Conduct comprehensive legal due diligence for domestic and cross-border transactions.
- Draft, review, and negotiate transaction documents such as Share Purchase Agreements, Shareholders' Agreements, and Investment Agreements.
- Ensure compliance with the Foreign Exchange Management Act (FEMA) and other relevant corporate regulations.
- Provide ongoing legal advisory on general corporate matters, including secretarial compliance and governance.
- Assist in structuring deals and managing the end-to-end transaction lifecycle.
- Coordinate with clients and other advisors to ensure smooth deal execution and closure.
Eligibility
- 3–5 years of Post-Qualification Experience (PQE) in corporate law or transaction advisory.
- Strong expertise in M&A, VC transactions, and General Corporate practice areas.
- Thorough understanding of FEMA regulations and Indian corporate laws.
- Proven experience in drafting and negotiating complex commercial and transaction-related contracts.
- Excellent analytical, communication, and interpersonal skills.
- Ability to work effectively in a hybrid environment in Mumbai.
