Details of the Job/Internship
Vaish Associates is hiring an Associate with 2–3 years of post-qualification experience (PQE) to join their Corporate Restructuring and Private Client Practice in New Delhi.
Role and Responsibilities
- Manage and execute complex corporate restructuring assignments, including schemes of arrangement, mergers, and demergers before the NCLT.
- Advise clients on stamp duty implications for business transfers, restructuring transactions, and corporate arrangements.
- Draft, review, and finalize high-level legal documentation, including petitions, affidavits, and schemes of arrangement.
- Provide comprehensive corporate advisory support on matters of governance, regulatory compliance, and transaction structuring.
- Conduct exhaustive legal research and analysis to support restructuring and succession planning assignments.
- Coordinate with regulators, clients, and stakeholders to ensure smooth implementation of corporate schemes.
- Liaise with stamp authorities and other regulatory bodies as required for transaction execution.
- Ensure strict adherence to regulatory timelines and collaborate with internal teams for seamless project delivery.
Eligibility
- LL.B. from a reputed legal institution.
- Desirable: Additional qualification as a Company Secretary (CS) is highly preferred.
- 2–3 years of relevant post-qualification experience in corporate restructuring and NCLT matters.
- Strong understanding of corporate law, restructuring processes, and stamp duty regulations.
- Exceptional drafting and documentation skills with high attention to detail.
- Strong analytical and problem-solving abilities to handle complex transaction structuring.
- Ability to work independently while thriving in a team-oriented, fast-paced environment.
- Excellent communication and interpersonal skills for client and regulator interaction.
