Details of the Job/Internship
S&A Law Offices is hiring an Associate/Senior Associate with 3+ years of experience in corporate law to join their upcoming office in Hyderabad.
Role and Responsibilities
- Comprehensive knowledge and experience of corporate laws such as Companies Act, Contract Act, Societies Act, FCRA, and FEMA regulations, with focused expertise in FDI, ODI, and ECBs.
- Experience in managing transactions, secretarial compliance, and regulatory filings.
- Working knowledge of SEBI laws and listing compliance, including filings under SEBI LODR, ICDR, SAST, PIT, and other listing regulations.
- Conduct board meetings and shareholders meetings, and prepare related documents, ensuring compliance with legal and regulatory guidelines.
- Experience in conducting due diligence on listed and unlisted entities.
- Experience in handling mergers and acquisitions, and private equity transactions.
- Draft, review, and negotiate transaction documents including term sheets, share purchase agreements, share subscription agreements, shareholders agreements, and loan agreements.
- Draft legal opinions and advisory on various laws.
- Knowledge and experience in handling matters under the I&B Code would be an added advantage.
Eligibility
- 3+ years of experience.
- CS or LL.B. from a top-tier law college.
