CapitalXB is hiring for the position of AVP Legal with 5+ years of experience to join their office in Mumbai. 

Role and Responsibilities

• Legal Advisory & Documentation
• Provide legal advice to the Board and senior management.
• Evaluate and mitigate legal risks in business, structured transactions, and partnership deals.
• Advise on complex legal and regulatory matters related to lending, financing, and investment.
• Draft, review, and negotiate contracts including loan agreements, vendor and customer agreements.
• Standardize legal documents and templates for structured financing products.
• Draft and review board resolutions, minutes, and other secretarial documentation.
• Mentor and manage the legal team and develop internal legal policies and training programs.
• Regulatory & Compliance
• Ensure adherence to RBI regulations, NBFC compliance, and corporate governance standards.
• Support regulatory filings and respond to notices from authorities.
• Maintain up-to-date knowledge of laws, rules, and regulations.
• Litigation & Dispute Resolution
• Coordinate with external counsels on litigation matters.
• Prepare case summaries, affidavits, and other legal documentation.
• Track and report ongoing litigation.
• Internal Processes & Risk Management
• Develop internal policies and SOPs to strengthen compliance frameworks.
• Participate in audits and support implementation of recommendations.
• Conduct legal and compliance training sessions for internal stakeholders.

Eligibility

• LLB or LLM degree; CS qualification is a plus.
• 5+ years PQE in NBFCs, banking, or financial services.
• Knowledge of NBFC regulations, RBI guidelines, corporate law, and financial legal frameworks.
• Strong communication, negotiation, and stakeholder management skills.
• Product knowledge of loans and financial assistance is advantageous.
