Details of the Job/Internship
Legacy Law Offices LLP is hiring a Capital Markets Associate with 2–5 years of relevant experience to provide legal support for capital market transactions.
Role and Responsibilities
- Draft, review, and negotiate transaction documents including DRHPs, RHPs, prospectuses, placement memoranda, and offer documents.
- Conduct legal due diligence on issuers and prepare detailed due diligence reports.
- Advise clients on SEBI, Companies Act, FEMA, and stock exchange compliance matters.
- Coordinate with merchant bankers, auditors, and registrars for capital market transactions.
- Support regulatory filings and respond to SEBI, ROC, RBI, and stock exchanges.
- Assist in post-issue compliances and ongoing disclosure requirements.
- Collaborate with international counsel on cross-border offerings.
Eligibility
- LL.B. from a leading law school in India or abroad.
- 2–5 years of experience in capital markets at a reputed law firm.
- Strong understanding of SEBI (ICDR) Regulations, LODR Regulations, Companies Act, and related capital markets laws.
- Excellent drafting, analytical, and regulatory skills.
- Ability to manage multiple workstreams and meet tight deadlines.
- Strong communication and client management skills.
