Details of the Job/Internship
Nuvama Group is hiring an In-House Corporate Lawyer with 7–8 years of experience to support its legal, commercial, and strategic functions.
Role and Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements such as investment advisory agreements, distribution agreements, platform/service agreements, tripartite agreements, NDAs, vendor agreements, and employment and consulting contracts.
- Advise on applicable laws and regulations governing wealth and investment businesses, including SEBI IA, PMS, AIF Regulations, RBI/FEMA guidelines, KYC/AML requirements, and data protection laws.
- Monitor regulatory changes and guide business teams on implications and compliance requirements.
- Identify legal risks in business proposals and transactions and recommend mitigation strategies.
- Review counterparty comments, prepare legal positions, and support negotiations.
- Provide sound legal interpretations and guidance to internal stakeholders.
- Contribute to the organisation’s commercial legal strategy and overall business strategy.
- Advise on commercial legal matters including M&A, joint ventures, restructurings, and daily commercial agreements.
- Draft, vet, and negotiate a variety of commercial contracts with holistic risk assessments.
- Lead special projects such as template creation, policy development, process improvements, and contract management enhancements.
- Manage the legal repository system and ensure consistency in internal policies.
- Work autonomously on complex legal matters with high technical proficiency.
- Review and draft documents related to corporate loans and capital-raising initiatives.
- Collaborate with external counsel, counterparty legal teams, and management regarding legal risks.
- Manage intellectual property matters including registration, protection, licensing, and technology-related legal issues.
- Negotiate contracts across business lines and support transactional matters.
- Maintain updated knowledge of relevant laws and foster compliance across the organisation.
- Align internal stakeholders on legal frameworks and ensure consistency in legal approaches.
- Handle any additional legal tasks assigned within the NWM Group.
Eligibility
- Bachelor’s degree in Law (LL.B) from a reputed institution.
- Minimum 7–8 years of comparable experience in a law firm.
- Proven experience handling complex projects and a variety of commercial agreements including M&A.
- Strong team player with sound business acumen.
- Solid legal technical expertise with strong judgment.
- Excellent drafting, interpretation, interpersonal, and communication skills.
- Strong command of written and spoken English.
- High professional ethics, responsibility, and integrity.
