ASSA ABLOY Opening Solutions India P Ltd is hiring a Commercial & Compliance Counsel in Mumbai. The role falls under the Finance Department and reports to the CFO. Candidates must have 5+ years of experience in legal compliance and commercial law.
Role and Responsibilities
Legal Experience
- Competent in drafting and negotiating NDAs, PoAs, MMOUs LoI; Distribution Agreements, Agency Agreements, Master Services Agreements, Supply Agreements, SaaS and Licence (IP/IT) Agreements; EUEULAsnd General T’s and C’s.
- Provide advice to and support commercial and product teams, draft templates, review and negotiate on all aspects of commercial agreements, digital and technology services, marketing regulations, consumer rights,d intellectual property rights, and disputes.
- Prepare, negotiate, nd advise on all aspects relating to multiple consumer contracts and commercial matters, including dispute resolution which may arise for the R&D, digital access solutions (DAS) , and product teams, particularly about cloud-hosting, advertising standards, and competition law in a multi-vendor/multi-customer environment.
- Provide periodic training on commercial contract negotiations to sales and procurement/supply teams and triggers for escalation in line with our Group and EMEIA Contract Policies and localize to comply with local law requirements.
- The role holder will be expected to develop, implement,t and monitor customer contract roll-out processes, a contract retention and managemenplatformfo ,,rm and related tools, as and when the need arises, and further enhance the existing contract review procedures.
- Apply effective risk management techniques and offer proactive advice on possible legal issues.
- Manage external legal advisers and external legalspendingd.
- Communicate and negotiate with external parties (suppliers, customers, regulators, external counsel, etc.) creating relationships based on trust and being a business enabler.
Compliance Experience
- Lead, advise, and ensure adherence with our trade compliance, anti-trust and ccompetitionn and anti-bribery and corruption compliance programs, including implementation of policies and procedures and drafting local guidelines as needed.
- Provide compliance training to relevant stakeholders on our policies and proceduresincludingcl. Code of Conduct, 3rd party vetting processes, trade compliance procedures, and financial crime.
- Lead/support with investigations, Whistleblowing reports, Code of Conduct matters, M&A transactions/integrations, and other such matters that may arise.
- Keep abreast of and support business units with regulatory developments in all areas of legal and compliance.
- WWorkingwith function leads to improving business standards, reducing risk, and recognizing red flags.
- Raise compliance awareness and training completion targets across our local companies.
Data Protection Experience:
- Lead, advise, and ensure adherence with our data protection compliance policy, including implementation of the policy and wider compliance program, and drafting local guidelines as needed.
- Maintain accountability documentation such as records of processing activities/data maps, local policies and procedures, and risk assessments.
- Keep abreast of and support business units with data protection andprivacy-relatedd regulatory developments.
- Provide data protection training to relevant stakeholders on our policies and procedures.
- Raise data protection awareness and training completion targets across our local companies.
- Lead in the management of data subject rights requests, ensuring they are handled correctly and by regulatory timescales.
- Manage and respond to data protection-related complaints and queries received from employees, customers, and regulators.
- Advise the business on responding to and management of security incidents and personal data breaches.
- Support the business to undertake privacy-focused risk assessments to ensure new and updated business activities are carried out in compliance with applicable laws and group policy.
Other:
- Carry out such other legal work and other tasks as required by the Group, EMEIA HO, CF,O or the Senior Management team.
- Work closely with internal stakeholders, including General Counsel EMEIA, Compliance Officer EMEIA, Commercial Contracts Counsel EMEIA, and Data Protection Manager EMEIA.
Eligibility
- Company Secretary & Law Graduate (LLB Degree Holder)
- Minimum 5+ years’ post qualified experience
- A relevant data protection qualification such as CIPP/A or CIPP/E is desirable but not essential.
