Details of the Job/Internship
Cvent is hiring for the position of Commercial Counsel with 7-12 years of experience to join their office in Gurugram.
Role and Responsibilities
1. Contract Drafting & Negotiation:
- Draft, review, and negotiate a variety of commercial agreements, including SaaS agreements, NDAs, partnership agreements, subscription agreements, professional services agreements, and Statements of Work (SOWs).
- Structure and negotiate deals, ensuring that terms align with Cvent’s business objectives and industry norms.
- Review and respond to RFPs and RFQs, proposing appropriate alternatives to contract terms.
2. Compliance & Risk Management:
- Provide guidance on data privacy and security regulations, including GDPR, CCPA, and other applicable laws.
- Develop and implement policies to mitigate legal risks, ensuring compliance with Cvent’s code of conduct.
- Monitor regulatory changes and advise on potential business impacts.
3. Litigation & Dispute Resolution:
- Manage disputes, including litigation under the Negotiable Instruments Act, 1881 (Section 138) and other relevant laws.
- Collaborate with external counsel and represent Cvent in court proceedings.
- Assist in drafting legal notices, responses, and other correspondence related to contract enforcement, IP rights, and other legal matters.
4. Corporate Support:
- Support M&A activities, including due diligence and contract review.
- Assist with corporate governance, including preparation of board meeting materials and corporate compliance documentation.
- Coordinate with HR to resolve employment-related legal matters and provide training on legal and compliance issues.
5. Process Optimization & Automation:
- Analyze and streamline existing contract management processes to enhance efficiency.
- Implement automation tools to improve workflow and reduce turnaround times.
6. Legal Research & Analysis:
- Conduct research on emerging technologies, such as AI, to identify potential legal implications.
- Stay updated on evolving legal trends and provide actionable insights to business units.
7. Reporting & Communication:
- Provide regular updates to senior management on ongoing litigation, regulatory changes, and key legal risks.
- Maintain a comprehensive legal dashboard to track case progress and contract renewals.
Eligibility
- Bachelor’s degree in Law (LL.B.) from a recognized institution; LL.M. preferred.
- Active license to practice law in India.
- 7-12 years of relevant legal experience, preferably with exposure to both domestic and international commercial transactions.
- Experience with SaaS agreements and technology-related contracts is mandatory.
- Strong understanding of financial and commercial terms, particularly in technology contracts.
- Expertise in data privacy, cybersecurity, and intellectual property law.
- Excellent drafting, negotiation, and communication skills.
- Proven ability to work independently in a fast-paced, deadline-driven environment.
- Strong interpersonal skills and the ability to collaborate across multiple departments.
- High ethical standards, with a focus on integrity and compliance.
