Details of the Job/Internship
Midwest Energy is hiring a Head/Lead - Company Secretary & Legal with 8–10 years of experience to join their office in Hyderabad, Telangana.
Role and Responsibilities
- Lead the end-to-end IPO process and manage ongoing post-listing obligations under SEBI (LODR) and SEBI (PIT).
- Oversee structured digital databases (SDD), UPSI controls, and periodic disclosures to stock exchanges.
- Coordinate corporate actions including dividends, bonus issues, buybacks, and preferential allotments.
- Manage all Board and shareholder meetings, including drafting agenda notes, notices, and minutes.
- Support M&A activities through legal due diligence, transaction approvals, and post-deal integration.
- Administer ESOP and equity plans, ensuring cap table hygiene and regulatory compliance.
Eligibility
- Mandatory: Qualified Company Secretary (ICSI member) and LLB degree.
- 8–10 years of post-qualification experience (PQE).
- Significant exposure to IPOs, preferential allotments, and SEBI/Exchange compliances.
- Preferred: 3–5 years of experience in Manufacturing, Metals, or Green Energy sectors.
- Deep knowledge of the Companies Act, FEMA, and Secretarial Standards.
- Strong drafting skills for minutes, resolutions, policies, and regulatory responses.
- Proven track record of managing cross-functional teams and boardroom presence.
