Details of the Job/Internship
GSE Renewables India Pvt. Ltd. is hiring a Company Secretary + Legal Executive with 2.5–4 years of experience to join their office in Mumbai.
Role and Responsibilities
- Ensure compliance with the Companies Act, LLP Act, and applicable statutory requirements.
- Prepare and file ROC forms such as MGT-7, AOC-4, ADT-1, and DIR-3 KYC.
- Manage Board Meetings, AGMs, and EGMs, including drafting notices, agendas, resolutions, and minutes.
- Maintain statutory registers and corporate governance records.
- Liaise with ROC, MCA, auditors, consultants, and banks.
- Support formation of SPVs and handle share transfer documentation.
- Draft, review, and negotiate PPAs, EPC contracts, O&M agreements, lease/sale deeds, vendor agreements, NDAs, LOIs, and consultancy agreements.
- Conduct legal due diligence for project land, including verification of title documents and encumbrance certificates.
- Coordinate with advocates for land verification, registration, and conversion approvals.
- Ensure project compliance with MNRE, DISCOM, and SERC requirements.
- Manage documentation for CEIG approvals, net metering, open access, and PPA registrations.
Eligibility
- Company Secretary (CS) from ICSI (mandatory).
- LL.B./LL.M. preferred.
- 2.5–4 years' experience in a combined CS + Legal role, preferably in Renewable Energy / Power / Infrastructure / EPC sectors.
