S.B. Jain & Associates is hiring for the position of Company Secretary and Compliance Officer to join their office in Delhi.
Role and Responsibilities
- Ensuring full compliance with the Companies Act, 2013, and other related corporate laws.
- Maintaining and updating statutory records and facilitating timely filings with authorities such as the Registrar of Companies (ROC), Ministry of Corporate Affairs (MCA), and Reserve Bank of India (RBI).
- Drafting essential corporate documents, including board resolutions, meeting notices, and minutes.
- Providing crucial support to clients and internal teams during secretarial and compliance audits.
- Assisting in the review and drafting of various agreements and legal documents.
- Staying abreast of regulatory changes and analyzing their implications for our clients.
- Coordinating effectively with external advisors, regulatory bodies, and legal counsels.
Eligibility
- Qualified Company Secretary (ICSI) certification is mandatory.
- Candidates pursuing an LLB or possessing a background in law will be strongly preferred.
- A strong understanding of company law, FEMA (Foreign Exchange Management Act), SEBI regulations, and secretarial practices is essential.
- Excellent drafting, communication (both written and verbal), and organizational skills.
- Proficiency in MS Office and legal research tools.
