Details of the Job/Internship
Amagi Corporation is hiring a Company Secretary and Legal Counsel with experience of 10 yaers to join their office in Bengaluru.
Role and Responsibilities
Secretarial Responsibilities:
- Handle corporate secretarial matters and FEMA related compliances.
- Lead the legal aspects of IPOs, including reviewing prospectus, coordinating with regulatory bodies (SEBI, NSE, BSE), and managing due diligence processes. Work closely with investment bankers, auditors, and underwriters to ensure successful public listings.
- Oversee and ensure timely compliance with statutory and regulatory requirements applicable to Amagi.
- Support board, committee and annual general meetings, prepare agendas, board packs and minutes, ensure that all the legal requirements are timely fulfilled, convey decisions to stakeholders based on requirements, maintain proper records, etc.
- Work with various internal teams to enable applicable board and committee approvals, provide resolutions, forms, requisite documents, etc.
- Advise the board on corporate governance best practices and ensure adherence to applicable laws and regulations.
- Stay updated with changes in laws, regulations and guidelines relevant to Amagi's operations.
- Develop and implement compliance programs to ensure adherence to all legal and regulatory requirements.
- Conduct periodic audits to assess compliance levels and address any identified issues promptly.
Legal Advisory Responsibilities:
- Provide legal advice on various matters, including contracts, agreements and compliance issues.
- Provide thought partnership and assist as needed on corporate transactions, intellectual property matters, privacy, employment law, compliance, litigation and any other legal matters that may arise globally
- Identify legal and regulatory risks that may affect Amagi's operations and develop strategies to mitigate them.
- Review new products/services and initiatives to provide legal risk mitigation strategies and draft related terms and conditions, legal disclaimers and governing policies.
- Provide thought partnership and assist as needed on corporate transactions, intellectual property matters, privacy, employment law, compliance, litigation and any other legal matters that may arise globally
- Work with internal business clients to develop and implement best practices, processes and internal resources, such as playbooks, FAQs, trainings and presentations, to support business objectives.
- Assist with implementation of contract management tools and management of contract management processes and procedures on a go forward basis.
Eligibility
- Minimum of 10 years of legal experience, preferably in a multinational corporation or law firm.
- In-depth knowledge of corporate laws, SEBI regulations, and other applicable statutes.
- Experience with the IPO process, including pre-IPO readiness and related corporate governance and compliance practices.
- Familiarity with a broad range of corporate and business laws.
- Sound business judgement, highly organised and able to work effectively in a fast-paced, international and constantly evolving environment.
- Demonstrated ability to proactively identify and analyse potential legal issues and provide thoughtful, pragmatic and business-oriented legal advice and solutions.
- Excellent written and verbal communication skills with a strong ability to clearly and concisely convey complex concepts and recommendations.
- Highly collaborative with a strong ability to build relationships, gain credibility and partner across functions to build consensus.
- Comfort working in a global organisation.
- Experience negotiating SaaS agreements a plus.
- Media tech, experience with digital advertising and/or privacy expertise is a plus.
- LL.B. Degree from a recognised university in India & qualified Company Secretary (ICSI).
Salary/Stipend
