Details of the Job/Internship
ETS (Educational Testing Service) is hiring for the position of Company Secretary and Legal Counsel with 12 years of experience to join their office in Gurugram.
Role and Responsibilities
Company Secretarial:
- Ensure timely and accurate execution of all corporate secretarial functions for ETS’s Indian legal entities.
- Maintain statutory records and filings in compliance with the Companies Act and related regulations.
Legal Advisory & Compliance:
- Provide pragmatic legal counsel on a broad spectrum of matters affecting ETS's operations in India.
- Monitor and ensure compliance with local laws, regulations, and internal policies.
- Stay up-to-date with legal and regulatory developments and prepare regular internal updates.
Contract & Document Management:
- Draft, review, and manage a wide range of legal documents, including commercial contracts, service agreements, employment contracts, NDAs, licenses, lease agreements, and termination notices.
- Develop standard templates and scalable documentation processes to meet growing business and compliance needs.
Employment Law & Labour Compliance:
- Provide guidance on labor and employment law matters, including compliance with Indian Labour Laws, Standing Orders, and HR-related policies and disputes.
- Address issues related to employee relations, disciplinary matters, employment policies, and regulatory filings.
Collaboration & Support:
- Work closely with ETS global legal teams to ensure cohesive legal support across jurisdictions.
- Independently handle legal, compliance, and corporate governance matters while aligning with international best practices.
- Conduct training and awareness sessions on regulatory compliance and internal policies.
Legal Transformation & Process Improvement:
- Lead or contribute to legal transformation projects aimed at improving efficiency and scalability of legal operations.
Eligibility
- Qualified Company Secretary with an Attorney license in India.
- Minimum 12 years of post-qualification experience as a Company Secretary and Legal Counsel in a mid-to-large corporation.
- Strong experience in corporate governance, legal compliance, and employment law, especially in relation to Indian Labour Laws and Standing Orders.
- Proven ability to independently manage all corporate legal, secretarial, and compliance responsibilities.
- Exceptional drafting, negotiation, advisory, and problem-solving skills.
- Excellent communication skills (verbal and written), with strong attention to detail.
- Ability to work both autonomously and collaboratively with cross-functional and international teams.
- Experience with global legal operations and supporting legal functions across geographies is a plus.
- Strong organizational and process management skills with the ability to handle multiple priorities and meet tight deadlines.
