Details of the Job/Internship
Airpay Payment Services is seeking a Company Secretary and Legal professional with 2-3 years of experience to join their team in the Mumbai Metropolitan Region.
Role and Responsibilities
Company Secretarial:
- Handle governance and compliance activities.
- Ensure compliance with statutory requirements and regulations under the Companies Act, RBI (NHB), SEBI, FEMA, FDI, and other applicable legislation.
- Conduct Board, Committee, and General meetings, including Business Committee meetings, and maintain minutes of these meetings.
- Assist in the preparation of the company's Annual Report by compiling and consolidating relevant data.
- Contribute effectively to the restructuring of legal entities for strategic business decisions.
- Draft and implement various governance policies and administer ESOPs.
- Maintain statutory registers.
Legal
- Draft, vet, and review Master Service Agreements, Lender & Borrower Agreements, Non-Disclosure Agreements (NDAs), Memorandums of Understanding (MOUs), Supplementary Agreements, Alliance Agreements, Partnership Agreements, and Bank Agreements.
- Liaise with law enforcement agencies and other regulatory/statutory authorities.
- Stay updated on regulatory frameworks and compliance requirements in the banking, fintech, and technology industries.
- Coordinate with external lawyers in litigation matters, draft legal documents, and respond to legal notices.
Eligibility
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI) and,
- Bachelor of Laws or Bachelor of Legislative Law (LLB).
- 2-3 years of Previous experience.
- Excellent drafting, communication, and interpersonal skills.
- Experience managing documentation for multiple group companies.
- Sound knowledge of the Companies Act, SEBI Regulations, Listing Regulations, FEMA, and FDI regulations.
- Strong negotiation skills and the ability to work independently.
