Details of the Job/Internship
Airpay Payment Services Pvt. Ltd. is hiring a Company Secretary and Legal professional with 2–3 years of experience to join their office in Mumbai.
Role and Responsibilities
- Manage corporate governance and compliance activities.
- Ensure compliance with statutory and regulatory requirements under the Companies Act, RBI, SEBI, FEMA, FDI, and other applicable laws.
- Organize and conduct Board, Committee, and General meetings and maintain meeting minutes.
- Assist in preparing the company’s annual report.
- Support legal entity restructuring for strategic decisions.
- Draft and implement governance policies and manage ESOPs.
- Maintain statutory registers.
- Draft, vet, and review legal agreements including MSAs, NDAs, MOUs, alliance agreements, and bank agreements.
- Liaise with law enforcement and regulatory authorities.
- Coordinate with external legal counsel in litigation matters.
- Respond to legal notices and stay updated on regulatory frameworks relevant to the fintech industry.
Eligibility
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI) and Bachelor of Laws (LLB).
- 2–3 years of relevant experience.
- Strong communication and interpersonal skills.
- Knowledge of the Companies Act, SEBI regulations, FEMA, FDI regulations, and corporate compliance procedures.
