Details of the Job/Internship
Concord Enviro Systems Limited is hiring for the position of Company Secretary and Manager Legal with 8-10 years of experience to join their office in Mumbai.
Role and Responsibilities
1. Corporate Governance
- Advise senior management on all matters related to corporate governance and statutory compliance.
- Ensure adherence to applicable laws and regulations including Companies Act, SEBI guidelines, stock exchange regulations, and other statutory requirements.
- Organize and manage Board and committee meetings, including preparing agendas, drafting minutes, and handling statutory filings.
- Maintain accurate and timely corporate records, statutory books, and regulatory filings.
- Conduct periodic governance reviews to align with industry best practices.
2. Legal Management
- Lead and oversee the company’s legal strategy and daily legal operations.
- Provide sound legal counsel on a wide range of issues including contracts, M&A, intellectual property, labor laws, compliance, and litigation.
- Draft, review, and negotiate contracts, agreements, and legal documents.
- Develop internal legal policies and frameworks to mitigate risk.
- Manage relationships with external legal counsel and ensure cost-effective legal services.
3. Compliance & Risk Management
- Ensure end-to-end compliance with corporate, regulatory, environmental, and sector-specific laws.
- Evaluate legal risks and implement mitigation strategies.
- Design and enforce internal compliance procedures and legal protocols across departments.
4. Board & Shareholder Relations
- Serve as the liaison between the Board of Directors and executive management.
- Manage all Board-related communications and documentation, including meeting packs and resolutions.
- Handle shareholder communications, meetings, and queries while ensuring transparency and statutory compliance.
- Maintain and update statutory registers and filings.
5. Legal Advisory & Strategic Support
- Offer strategic legal input on business initiatives, deals, joint ventures, and acquisitions.
- Represent the company in legal matters, negotiations, and dispute resolution proceedings.
- Act as a legal advisor in key business decisions, ensuring alignment with legal and compliance standards.
Eligibility
- Education: LLB from a recognized university; Member of the Institute of Company Secretaries of India (ICSI).
- Experience: 8–10 years in corporate law, with a minimum of 3 years in a senior legal or company secretary role, preferably in a listed company environment.
- Knowledge: Deep expertise in corporate governance, securities law, and regulatory compliance.
