Details of the Job/Internship
Right Horizons Group is hiring an Assistant Manager – Compliance & Secretarial with experience of 1–3 years to join their office in Bangalore.
Role and Responsibilities
- Manage secretarial audits and maintain statutory registers, minute books, and records for group companies.
- Organise Board Meetings, Committee Meetings, and General Meetings, including drafting agendas and recording minutes.
- Ensure timely filing of statutory forms and returns with the Registrar of Companies and the Ministry of Corporate Affairs.
- Handle corporate actions including share transfers, allotments, and changes in capital structure.
- Act as the primary contact for SEBI regarding the Portfolio Management Services (PMS) license.
- Oversee the registration process for the Alternative Investment Fund (AIF) license.
- Ensure compliance with SEBI (PMS) and SEBI (AIF) Regulations, including regulatory filings and disclosure updates.
- Monitor and implement changes based on SEBI circulars and notifications.
- Liaise with AMFI and other regulatory bodies regarding mutual fund distribution and advisory regulations.
- Review client onboarding processes including KYC and AML compliance.
- Develop internal compliance manuals for sales and distribution teams.
- Provide legal and secretarial advice to the Board regarding corporate restructuring and diversification.
- Draft and review commercial contracts, vendor agreements, and NDAs.
- Coordinate with external legal counsel and auditors when required.
Eligibility
- Qualified member of the Institute of Company Secretaries of India (ICSI).
- 1–3 years of relevant experience; experience in financial services is preferred.
- Strong knowledge of the Companies Act, 2013, SEBI (PMS) Regulations, and SEBI (AIF) Regulations.
- Excellent drafting skills, attention to detail, and strong ethical standards.
