Urja Global Limited is hiring a Company Secretary & Compliance Officer with 5–7 years of relevant experience to join its Legal & Compliance Department at the Peeragarhi office in New Delhi.
Role and Responsibilities
- Ensure compliance with the Companies Act, 2013, SEBI regulations, and other corporate laws.
- Organize, attend, and record Board, Committee, and General Meetings; prepare agendas, notices, and minutes.
- Maintain statutory registers and file returns with MCA/ROC, RBI, SEBI, and other authorities.
- Advise the Board on legal obligations, governance practices, and regulatory changes.
- Draft, review, and vet contracts, agreements, and legal documents.
- Liaise with regulators, auditors, and government bodies.
- Manage corporate restructuring, mergers, acquisitions, and share allotments.
- Ensure compliance audits, corporate filings, and internal control measures.
- Safeguard shareholders’ interests by upholding transparency and governance standards.
Eligibility
- Qualified Company Secretary from the Institute of Company Secretaries of India (ICSI).
- Bachelor’s degree in Law, Commerce, or Business Administration preferred.
- 5–7 years of relevant experience in corporate or consulting environments.
- Experience with listed company compliance is an added advantage.
- Strong knowledge of corporate laws, SEBI regulations, and governance frameworks.
- Excellent drafting, communication, and presentation skills.
