Dugain Advisors LLP is offering a Company Secretary (CS) Internship in Delhi.
Role and Responsibilities
Mergers & Acquisitions (M&A) and Venture Capital (VC) Transactions:
- Conducting compliance due diligence for VC transactions.
- Reviewing and drafting issue/allotment documents for securities, including rights issues, private placements, buybacks, and preferential allotments.
- Leading compliance for VC funding transactions.
- Advising foreign companies on establishing a presence in India.
- Handling compliance for ESOPs and phantom stocks.
- Striking off companies under the Fast Track Exit Scheme.
- Interacting with clients and stakeholders to ensure effective communication and deliverables.
- Implementing systems to enhance organizational management and ensure compliance with legislation.
- Staying updated on changes in the legal and regulatory landscape.
- Advising clients on compliance risks and providing solutions.
General Company Secretary (CS) Work:
- Convening and conducting Board Meetings and general and investor meetings, including pre- and post-meeting documentation.
- Drafting and maintaining notices, resolutions, minutes, statutory registers, and annual reports.
- Ensuring accurate and timely filing of statutory returns and forms with the Ministry of Corporate Affairs (MCA).
- Handling compliance and formalities for the entry/exit of directors and changes in company name or objectives.
- Maintaining statutory books and registers for directors, members, and shareholders.
- Ensuring organizational policies comply with regulatory updates and securing approvals.
- Assisting in cases under the Insolvency and Bankruptcy Code (IBC) before NCLT and NCLAT.
- Replying to and issuing legal notices, managing correspondence for disputes, and assisting with litigation matters, including recovery, cheque bounces, and trademark/copyright infringements.
