OORJA is hiring a Company Secretary/Lawyer to join them in Mumbai office.
Role and Responsibilities
Compliance Management:
- Ensure compliance with the Companies Act, LLP Act, and other applicable laws and regulations.
- Maintain statutory registers, records, and filings, including annual returns, board resolutions, and minutes of meetings.
- Oversee filing and timely submission of forms with regulatory authorities (MCA, ROC, SEBI, etc.).
Board and Committee Meetings:
- Organize and facilitate Board, Committee, and General Meetings.
- Draft agendas, notices, resolutions, and minutes of meetings.
- Provide advice on governance best practices and ensure compliance during meetings.
- Corporate Governance:
- Ensure adherence to corporate governance principles and company policies.
- Assist in the formulation and review of internal governance policies.
Statutory Obligations:
- Liaise with regulatory authorities and ensure all statutory obligations are met.
- Conduct due diligence and compliance audits periodically.
Contract Drafting and Negotiation:
- Draft, review, and negotiate contracts, agreements, MOUs, NDAs, and other legal documents.
- Ensure legal soundness and mitigate risks in contracts with clients, vendors, and third parties.
Legal Advisory:
- Provide legal advice on corporate and commercial matters, disputes, and other legal issues.
- Represent the company in legal proceedings, arbitrations, or negotiations as required.
Dispute Resolution:
- Handle disputes, claims, and litigation matters in coordination with external counsel, if necessary.
- Develop strategies to mitigate legal risks and safeguard the company’s interests.
Intellectual Property:
- Oversee trademark, copyright, and IP registrations and protection.
- Manage intellectual property rights-related contracts and agreements.
Eligibility
- Membership of the Institute of Company Secretaries of India (ICSI). - Bachelor’s degree in Law (LLB) from a reputed institution.
- A Master's degree in Law (LLM) or additional certifications in corporate law. - Minimum 5-7 years of experience in corporate secretarial work and legal advisory roles.
- Strong knowledge of the Companies Act, LLP Act, SEBI Regulations, and other applicable laws.
- Expertise in drafting, reviewing, and negotiating contracts and agreements.
- Excellent understanding of corporate governance and secretarial practices.
- Strong analytical and problem-solving skills with attention to detail.
- Exceptional communication and interpersonal skills.
- Ability to handle multiple tasks and meet tight deadlines in a fast-paced environment.
- Proficiency in legal research and compliance tools.
Salary/Stipend
