EazyDiner is hiring for the position of Company Secretary & Legal Officer with 3-5 years of experience to join their office in Gurugram.
Role and Responsibilities
1. Drafting and Reviewing Agreements:
- Draft, review, and negotiate contracts, agreements, and other legal documents to safeguard the company’s interests.
2. Minutes of Meetings:
- Accurately record and prepare minutes for board meetings, general meetings, and other official gatherings.
3. Compliance Management:
- Oversee the timely filing of ROC returns, financial statements, and other statutory forms on the MCA portal.
- Manage FLA returns (Foreign Liabilities and Assets) in line with regulatory guidelines.
- Handle FCGPR filings related to foreign investments, ensuring compliance with FEMA regulations.
4. Corporate Governance:
- Support in maintaining corporate governance standards and adherence to legal and financial practices.
5. Legal Advisory:
- Provide legal support and guidance on commercial transactions, employment law, intellectual property, and other legal matters.
6. Document Management:
- Maintain an organized system for contracts, agreements, and other legal records to ensure easy retrieval and data protection compliance.
7. Liaison with Regulators:
- Coordinate with regulatory authorities for filings, returns, and compliance-related issues.
8. Policy Development:
- Assist in developing and implementing company policies to ensure regulatory compliance.
9. Merger Coordination:
- Collaborate with consulting firms for merger-related activities, ensuring legal and regulatory alignment.
Eligibility
Educational Background:
- Graduate in Law (LLB) from a recognized university.
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
Experience:
- 3-5 years of relevant experience in legal drafting, compliance management, and ROC/FLA/FCGPR filings.
Skills:
- Strong knowledge of corporate law, regulatory compliance, and secretarial practices.
- Excellent drafting, negotiation, and communication skills.
- Proficiency in using the MCA portal and other compliance management tools.
- Exceptional attention to detail and organizational skills.
- Ability to handle multiple tasks and meet stringent deadlines.
Salary/Stipend
