Details of the Job/Internship
Genicon Strategic Advisors is hiring a Company Secretary with 5-10 years of experience for their Chennai office.
Role and Responsibilities
- Regulatory Compliance: Ensure compliance with the Companies Act, SEBI regulations, Stock Exchange listing requirements, and other applicable laws.
- Board & Shareholder Management: Organize and facilitate Board, Committee, and shareholder meetings, including preparing agendas, minutes, and resolutions.
- Corporate Governance: Implement and monitor corporate governance practices, ensuring adherence to best standards.
- Statutory Filings & Disclosures: Ensure timely filings with regulatory authorities (Registrar of Companies, SEBI, Stock Exchange, etc.), including financial reports, annual returns, and other statutory documents.
- Stakeholder Communication: Act as a liaison between the company, Board of Directors, shareholders, regulators, and other stakeholders.
Eligibility
- Member of ICSI having a valid membership number
- Experience: Minimum 5-10 years of experience, preferably in retail sectors.
- Expertise: Strong knowledge of LODR, ICDR, Companies Act, filing with MCA, RBI and Stock Exchanges
- Leadership: Proven ability to lead compliance teams, drive strategy, and influence key stakeholders.
- Analytical Skills: Strong problem-solving abilities with a data-driven approach to decision-making.
- Communication: Excellent communicatin, negotiation, and interpersonal skills.
